Indonesian network provider PT Mora Telematika Indonesia Tbk, also known as Moratelindo, has announced a merger with Sinar Mas Group’s broadband unit MyRepublic Indonesia.
The transaction is targeted to be completed in the first half of 2026, according to an announcement on Thursday.
MyRepublic Indonesia operates under Eka Mas Republik, a subsidiary of Dian Swastatika Sentosa. Following the merger, Moratelindo will be renamed as PT Ekamas Mora Republik Tbk. As part of the transaction, the company will issue 24.12 billion new shares to the shareholders of Eka Mas Republik, representing 50.5% of the enlarged share capital post-merger.
The issuance will dilute existing Moratelindo shareholders by 50.5%. Moratelindo will remain as the surviving listed entity, while MyRepublic Indonesia will be merged into the new entity, Ekamas Mora Republik.
Upon completion, Dian Swastatika Sentosa will become the indirect controlling shareholder of Ekamas Mora Republik. Redpeak Advisers has been appointed as the exclusive financial adviser to the transaction.
Moratelindo president director and CEO Jimmy Kadir said the merger marks a transformational step toward building a leading integrated digital infrastructure and services provider in Indonesia.
He said the complementary networks and infrastructure would allow the combined entity to deliver faster and more reliable services while accelerating network expansion.
MyRepublic Indonesia president director and CEO Timotius Max Sulaiman said the transaction is aimed at generating sustainable financial synergies through cost optimisation and the elimination of overlapping capital expenditure.
He added that the integration of network assets, from backbone to last mile, is expected to unlock broader growth opportunities and improve scalability.
Sulaiman said the merger has been approved by the boards of both companies and is now awaiting regulatory and shareholder approvals. He added that the combined entity is expected to enhance service quality, support the expansion of Indonesia’s digital ecosystem, and create long-term value for stakeholders.
Moratelindo is a network access provider (NAP) and internet service provider (ISP) that has operated since 2000 and owns one of Indonesia’s largest fibre-optic backbone networks. As of September 2025, the company operated more than 57,000 kilometres of fibre-optic cable, six data centres with a total capacity of 3.3 megawatts, served 16,800 corporate customers, nearly 1 million home passes, and more than 296,000 retail subscribers.
MyRepublic Indonesia, meanwhile, is one of the country’s leading fibre-to-the-home (FTTH) providers. As of September 2025, the DSSA subsidiary served more than 1.52 million retail subscribers, offered internet speeds of up to 1 Gbps, and operated over 58,000 kilometres of fibre-optic network with 8.7 million home passes.
